Severability

DCEO engages with a third party, Matador Ventures, Inc., to provide the AI Chatbot functionality labeled “Big Lincoln.” By engaging with this chatbot you consent to their terms of service outlined below.

1. Terms of Service
By accessing and using the Chatbot, you agree to these terms of service (“Chatbot TOS”), which form a binding agreement and describe your rights and responsibilities when using our chatbot. You also agree to be bound to the following, which are hereby acknowledged and fully incorporated into the Chatbot TOS:

- In the event any terms within this Chatbot TOS contradict the Matador Terms of Service or Matador Privacy Policy, the terms of this Chatbot TOS will control. By accepting these terms, you represent that they have reached the age of majority where you live or reside; otherwise your consent is only valid with the approval of your legal representative, which must be obtained before starting to use our Chatbot.

2. Definitions
In these Terms of Service the following definitions shall apply:

- Matador means Matador Ventures, Inc., dba Matador Network, and its employees, agents, officers, clients, partners and assigns;
- Chatbot TOS mean the most recent version of this document at the time of using the Chatbot;
- Chatbot means Matador’s proprietary conversational, artificial intelligence powered user support assistant currently named GuideGeek;
- Chatbot framework means the past, present and future content of the software and the related functionality, technology, product and service developed, bought or licensed by Matador, including but not limited to the design and structure, texts, images, photographs, illustrations, compilations, graphic material, broadcasts, advertising slogans, databases, proprietary information, and all elements of the Chatbot protected by copyright or other right (including source and object codes);
- User means all individuals who interacts with our chatbot directly or indirectly on any of the available Platforms;
- Platform means the interface environment where Users can use our chatbots and can have a look at the Content, such as WhatsApp;
- Data means information or Content uploaded, posted, transmitted or otherwise made available by Users or for the purpose of operating our chatbots, via our chatbots, including messages, files, comments, custom texts written by Users, profile information, username, metadata and token data, avatar, country, language, contact information, phone number, e-mail address, individual ID, internal ID, position, workplace given by our Users;
- Content means the entire chatbot and all of the information, text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through chatbots.

3. Prohibitions
Users are not entitled to:

- change, let, lease, lend, sell, divide or decrypt in whole or in part the chatbot or information learnt while using it;
- carry out any activity that may interfere with the chatbot’s intended services to provide travel information to users (or with the servers and networks which convey information during use and/or are connected with the chatbot);
- acquire the right to copy, distribute, sell or lease parts of the chatbot;
- decrypt the chatbot solution or attempt to obtain or otherwise derive source code, trade secrets, or know-how or any portion thereof;
- acquire any intellectual property right or the content accessible on and originating from chatbot;
- work around any technical limitations of the chatbot;
- modify, reverse engineer or otherwise alter the chatbot;
- use the bot in any way prohibited by law, regulation, governmental order or decree;
- use the bot to defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
- engage in activity that is false or misleading or that is harmful to others (including children), or the chatbot;
- share obscene, offensive or illegal content, advertising, spam, spyware or malware;
- gain (or attempt to gain) unauthorized access to any service, data, account or network by any means which would infringe upon the rights of others;
- use the chatbot anywhere other than the Platform where the chatbot has been made available, unless the bot publisher has enabled such uses;
- remove, modify, or tamper with any notice or link that is incorporated into the bot;
- degrade or compromise security in any way;
- communicate misleading statements about chatbot functionality, performance, origin or Data use;
- use or introduce any viruses or other code that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, Data or Chatbot Framework.

4. User Personal Data Responsibilities

- Users are responsible for maintaining the privacy and security of their personal information;
- Matador will not be held liable for any damage or loss that may result from Users failure to protect their personal information;
- if while using the chatbot the personal data of a third party is recorded, obtaining the consent required for that person’s data to be processed and to be transferred to the chatbot is Users responsibility;
- the controller of the data is the Customer;
- data handling is voluntary; the legal basis for processing personal data is the voluntary consent of the Users under GDPR, further information is available in our Privacy Policy;
- Chatbot is an OpenAI program (https://openai.com/), and Matador will, from time to time, transfer anonymized data to OpenAI for the purpose of maintaining and improving service;
- Chatbot may include links to Matador and Matador’s affiliates’ sites, but will never request, collect or save login information;
- in order to operate some functions of the chatbot, we work together with third parties and external service providers, as it is essential for Users personal data to be transmitted to or used via these parties to the extent and for the time necessary for the functions to operate.

5. General Conditions
Chatbots are provided “as is” and “as available” with no representations or warranties of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Matador makes no warranties regarding:

- Users’ ability to use the chatbot;
- Users’ satisfaction with the chatbot;
- that the chatbot will be available at all times, uninterrupted, and error-free, and
- that bugs or errors in the chatbot will be corrected immediately.

6. Limitation of liability
In no event will Matador have any liability arising out of or related to the Chatbot TOS to Users or to any third party for any lost profits or revenues or for loss of income, loss of data or financial loss attributable to the chatbot or any indirect, special, incidental, consequential, cover or punitive damages exceeding USD 100. The limitation of liability indicated above applies to:

- anything related to the Chatbot and Chatbot Services;
- claims for breach of contract, warranty, guarantee, or condition; strict liability, negligence, or other tort; violation of a statute or regulation; unjust enrichment; or under any other theory; all to the extent permitted by applicable law;
- cases when such remedy doesn’t fully compensate for all losses.

7. No Contractual Agreements
The Chatbot is not a natural person or entity with legal authority to enter into binding agreements. Matador makes no claims or warranties as to the accuracy of information provided by Chatbot, and Chatbot cannot in any case bind or cause any other person or entity to be bound by contractual terms, with the exception of this TOS and all incorporated terms, including the Matador Privacy Policy and Terms of Service.
